Terms of Service

Please read these terms of service (“Terms”) carefully before using the services offered by Powerful Systems, Inc. (“Powerful Systems, Inc.”, “we”, “us”, or “our”). By (1) clicking a box indicating acceptance, (2) executing an order form that references these Terms, or (3) using the services, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If the individual accepting this agreement is accepting on behalf of a company or other legal entity, such individual represents that they have the authority to bind such entity, in which case “Customer” shall refer to such entity. If you do not have such authority or do not agree with these Terms, you must not accept this agreement and may not use the services.

1. Definitions

1.1. “Authorized User”

“Authorized User” means Customer’s employees, consultants, contractors, and agents who are authorized by Customer to access and use the Services.

1.2.”Business Contact Data”

“Business Contact Data” means Personal Data that relates to Powerful Systems, Inc.’s relationship with Customer, including names and contact information of Authorized Users and data collected for managing our relationship with Customer.

1.3. “Customer Data”

“Customer Data” means information, data, and other content submitted, posted, or otherwise transmitted by or on behalf of Customer through the Services, including Google Drive documents, meeting transcripts, summaries, calendar information, and related content.

1.4. “Documentation”

“Documentation” means Powerful Systems, Inc.’s user documentation relating to the Services.

1.5. “Personal Data”

“Personal Data” means any information that identifies or relates to a particular individual, as defined in our Privacy Policy.

1.6. “Services”

“Services” means Powerful Systems, Inc.’s automated weekly report generation, strategic document analysis, AI meeting assistant, meeting transcription and summarization, and related AI-powered services as described in these Terms and made available through our platform.

1.7. “Third Party Integrations”

“Third Party Integrations” means third-party products integrated with the Services, including Google Drive, Google Calendar, Google Meet, Google Workspace, Confluence, Jira, and other enterprise productivity tools.

1.8. “Usage Data”

“Usage Data” means data collected by Powerful Systems, Inc. about Customer’s use of the Services, including activity logs and performance data.

1.9. “Strategic Documents”

“Strategic Documents” means documents stored in Google Drive and Confluence including but not limited to OKRs, roadmaps, planning documents, strategy documents, and other materials containing team goals and priorities.

1.10. “Weekly Reports”

“Weekly Reports” means automated weekly updates generated by analyzing Strategic Documents, meeting transcripts, and correlating with project progress data from integrated tools.

2. Services Description

2.1. Weekly Update Automation Services

Powerful Systems, Inc. provides AI-powered weekly report generation services that:

2.2. Data Storage and Retention

Google Drive document content is processed in real-time for report generation and is not permanently stored. Meeting audio is processed in real-time for transcription only - no meeting recordings are saved or stored by Powerful. Meeting transcripts and summaries are created as separate Google Docs in your Google Drive and remain under your control. Generated weekly reports and extracted strategic insights are stored for ongoing access through your account.

2.3. Account Requirements

You must create an account to use the Services and are responsible for maintaining the security of your account credentials.

3. Access and Use

3.1. License Grant

Subject to your compliance with these Terms, Powerful Systems, Inc. grants you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your subscription period.

3.2. Account Registration

You must provide accurate and complete information when creating your account and keep this information updated.

3.3. Authorized Users

You are responsible for all activities that occur under your account and for ensuring that Authorized Users comply with these Terms.

3.4. Google Integration Authorization

You represent that you have the necessary authority and consent to authorize Powerful Systems, Inc. to access your Google Drive documents, Google Calendar events, join Google Meet meetings for transcription purposes, and access other Google Workspace data for the purpose of generating automated weekly reports, meeting transcripts, summaries, and strategic insights.

4. Use Restrictions

You shall not and shall not permit others to:

4.1. Use the Services for any unlawful purpose or in violation of any applicable laws or regulations

4.2. Reverse engineer, decompile, or attempt to discover the source code of the Services

4.3. Use the Services to build a competing product or service

4.4. Share your account credentials with unauthorized parties

4.5. Interfere with or disrupt the proper functioning of the Services

4.6. Submit any harmful code, viruses, or malicious software

4.7. Use the Services to access or process documents or join meetings without proper authorization from document owners and meeting participants

4.8. Process any data that violates applicable privacy laws or regulations

5. Customer Data and Privacy

5.1. Customer Data Ownership

You retain all rights, title, and interest in your Customer Data. You grant Powerful Systems, Inc. a license to process Customer Data solely to provide the Services.

5.2. Data Processing

Our processing of Personal Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are solely responsible for ensuring you have the necessary rights and permissions to authorize Powerful Systems, Inc. to access and analyze your Google Drive documents and related Google Workspace data, and to join Google Meet meetings for transcription and summarization purposes. You must inform all meeting participants that Powerful’s AI meeting assistant will join meetings to create transcripts and summaries.

5.4. Data Security

Powerful Systems, Inc. implements reasonable security measures to protect Customer Data, but cannot guarantee absolute security.

5.5. No Sensitive Data

The Services are not designed for processing highly sensitive data such as protected health information, financial data, or government identification numbers. You agree not to submit such data through the Services.

6. Third Party Integrations

6.1. Integration Dependencies

The Services rely on third-party integrations including Google Drive, Google Calendar, Google Meet, Google Workspace, project management tools, AI services, and meeting transcription providers. Service availability may depend on these integrations.

6.2. Managing Connections

You can revoke third-party integrations at any time through the connections page in your dashboard. Previously processed data will remain subject to those platforms’ policies and our retention policies.

6.3. Third Party Terms

Your use of integrated services is subject to their respective terms and conditions.

6.4. Integration Changes

We may add, modify, or discontinue third-party integrations with reasonable notice.

8. AI Services and Accuracy

8.1. AI-Generated Content

Weekly reports, strategic insights, meeting transcripts, meeting summaries, and document analysis are generated using artificial intelligence and may contain errors or inaccuracies. You should review all AI-generated content before relying on it.

8.2. No Warranties

We do not warrant the accuracy, completeness, or reliability of document analysis, strategic insights, meeting transcripts, meeting summaries, or other AI-generated content.

8.3. Your Responsibility

You are solely responsible for verifying the accuracy of reports, meeting transcripts, summaries, and insights before using them for business decisions.

9. Payment Terms

9.1. Fees

You agree to pay all applicable fees as specified in our pricing or any order form.

9.2. Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe’s terms of service.

9.3. Billing

Fees are charged in advance on a recurring basis as specified in your subscription.

9.4. Late Payments

Overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

9.5. Suspension

We may suspend Services for accounts that are more than 10 days overdue after providing notice.

10. Term and Termination

10.1. Term

These Terms commence when you first accept them and continue until terminated.

10.2. Subscription Periods

Your subscription automatically renews unless you cancel at least 30 days before the renewal date.

10.3. Termination for Cause

Either party may terminate for material breach that remains uncured after 30 days’ written notice.

10.4. Effect of Termination

Upon termination, your access to the Services will cease. You are responsible for exporting your data before termination.

10.5. Data Deletion

We will delete your Customer Data according to our retention policies unless legally required to retain it.

11. Intellectual Property

11.1. Powerful Systems, Inc. IP

Powerful Systems, Inc. retains all rights in the Services, technology, and related intellectual property.

11.2. Customer Feedback

Any feedback you provide may be used by Powerful Systems, Inc. to improve the Services without compensation.

11.3. Respect for IP

You must not use the Services in a way that infringes third-party intellectual property rights.

12. Warranties and Disclaimers

12.1. Mutual Representations

Each party represents that it has the authority to enter into these Terms.

12.2. Service Warranties

We warrant that the Services will perform materially in accordance with the Documentation.

12.3. DISCLAIMERS

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

13.1. Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Powerful Systems, Inc.‘S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

13.2. Excluded Damages

NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA.

13.3. Exception

These limitations do not apply to breaches of confidentiality, data security obligations, or indemnification duties.

14. Indemnification

14.1. Powerful Systems, Inc. Indemnification

Powerful Systems, Inc. will defend Customer against third-party claims that the Services infringe valid intellectual property rights and will pay resulting damages.

14.2. Customer Indemnification

Customer will defend Powerful Systems, Inc. against claims arising from Customer Data, misuse of the Services, or violation of these Terms.

14.3. Conditions

Indemnification is conditioned on prompt notice, cooperation, and allowing the indemnifying party to control the defense.

15. Confidentiality

15.1. Confidential Information

Each party may receive confidential information from the other and agrees to maintain its confidentiality.

15.2. Protection Obligations

Confidential information must be protected with reasonable care and not disclosed to unauthorized parties.

15.3. Permitted Disclosures

Confidential information may be disclosed as required by law or court order with prior notice when possible.

16. General Provisions

16.1. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Services.

16.2. Modifications

We may update these Terms by posting changes and providing notice. Continued use constitutes acceptance.

16.3. Governing Law

These Terms are governed by the laws of New Jersey, without regard to conflict of law principles.

16.4. Dispute Resolution

Disputes shall first be addressed through good faith negotiations. Unresolved disputes shall be subject to binding arbitration in New York, New York.

16.5. Severability

If any provision is unenforceable, it shall be modified to the minimum extent necessary to make it enforceable.

16.6. Assignment

Neither party may assign these Terms without consent, except in connection with a merger or sale of substantially all assets.

16.7. Force Majeure

Neither party is liable for delays caused by circumstances beyond their reasonable control.

16.9. Relationship

The parties are independent contractors; no partnership or agency relationship is created.
